Terms and Conditions

These Terms & Conditions govern all photography services provided by DeJean Brown Photography ("Photographer") to the client named on the invoice, quote, or booking confirmation ("Client").

By paying a deposit, session fee, or invoice — or by attending a scheduled session — the Client agrees to these terms. Where a separately signed agreement or written scope of work exists for a specific assignment, that document controls to the extent it conflicts with these terms.

Part One applies to every service. Part Two adds terms specific to the service purchased. Both apply to your booking.

Part One — General Terms

1. Booking & Scheduling

A session date is not reserved until the Photographer has received the required deposit or signed confirmation. Dates are held on a first-confirmed basis.

The Client is responsible for providing accurate scheduling details, location access, and a point of contact reachable on the day of the session.

2. Fees, Invoicing & Payment

  • Individual clients: the session or sitting fee is due in full to reserve the date. Additional image or retouching purchases are due prior to delivery of final files.
  • Organizational clients (brokerages, firms, companies, agencies): services are invoiced per the agreed arrangement, with payment due Net 30 from the invoice date unless otherwise stated on the invoice.
  • A service charge of 1.5% per month applies to any balance unpaid after 30 days.
  • Quoted fees cover the services described on the invoice or quote. Work requested beyond that scope is quoted and approved separately before it begins.
  • License rights do not transfer until payment is received in full. Images delivered prior to full payment are not licensed for use.

3. Cancellation, Rescheduling & No-Shows

  • 48 or more hours' notice: the session fee or deposit may be applied to a rescheduled date within 60 days.
  • Less than 48 hours' notice, or a missed appointment (no-show): the session fee or deposit is forfeited.
  • Booked-block assignments (events and multi-hour bookings) are subject to the cancellation schedule in Part Two, Section D.
  • For scheduled slots within a group or organizational shoot, a no-show forfeits that participant's slot. Re-booking is subject to availability and may incur an additional fee.
  • If an assignment is cancelled after the session has begun, the Client remains responsible for the full quoted fee plus any costs already incurred.
  • The Photographer may reschedule due to weather, illness, or circumstances beyond reasonable control, with no penalty to either party.

4. Travel & Expenses

Sessions within 30 miles of Vista, California include travel. Beyond that radius, travel is billed at the current mileage rate. Parking, tolls, permits, location fees, and any specialty equipment rental are billed at cost and approved in writing before being incurred.

The Photographer retains full copyright to all images created, in all formats, in perpetuity. The Client purchases a license to use the delivered images as described below — not ownership of the images or the copyright.

Unedited proof files, RAW files, and outtakes are not delivered and are not part of any purchase.

6. License to Use

Unless the invoice states otherwise, the Client receives a perpetual, non-exclusive, worldwide license to use the delivered, retouched images for the purposes described in Part Two for the service purchased.

Not included in the standard license:

  • Resale, transfer, or sublicensing of the images to unrelated third parties
  • Use in paid advertising placements (available as a separate licensing add-on)
  • Use of unedited proof or preview files
  • Use by any party other than the Client named on the invoice, except as stated in Part Two

7. Image Integrity

The Client may not apply filters to, re-edit, or otherwise alter the delivered images — beyond basic cropping and resizing for the permitted use — without the Photographer's written approval. The Photographer's retouched files are the only authorized versions for use.

8. Retouching

Standard Polishing is included on all selected images: skin tone evening, blemish and stray-hair cleanup, and basic color and exposure correction.

Extensive retouching — including body reshaping or repositioning, major fly-away hair, severe blemish removal, background replacement, or removal of permanent features — is a separate service, billed hourly in 15-minute increments at the current rate. Extensive retouching is quoted and approved before work begins, and applies whether the image is a purchased image or a complimentary one.

9. Proof Selection & Delivery

  • Following the session, the Client receives an online proof gallery from which to make selections.
  • The number of retouched images included is specified on the invoice or in the package purchased. Additional retouched images may be purchased from the proof gallery.
  • Final retouched images are delivered within 5–7 business days of the Client's selections, via online gallery. Event deliverables follow the timeline in Part Two, Section D.
  • Proof and preview files are for selection only and are not licensed for use or publication.
  • Proof galleries remain active for 30 days from the date they are made available. If selections are not received within that window, the Photographer may make the selections on the Client's behalf in order to close the job, or may close the gallery. Reopening a closed proof gallery is subject to availability and may incur a retrieval fee.
  • Proof galleries remain active for 30 days from the date they are made available, for the purpose of making selections.
  • Delivery galleries containing the final retouched images remain active for 90 days from the delivery date.

The Client is responsible for downloading and backing up their final files within the delivery window. Archived files may be re-delivered at the Photographer's discretion and may be subject to a retrieval fee. The Photographer does not guarantee retention of files beyond these windows.

11. Creative Control

The Photographer's style, approach, and editing decisions are the basis on which the Client engages the Photographer. Post-production is completed in the Photographer's established style. Re-edits reflecting a change in the Client's preference — rather than a technical error — are billed as extensive retouching.

The Client consents to being photographed and agrees that the Photographer may use selected images for the Photographer's portfolio, website, and marketing.

A Client who prefers their images not be used for this purpose may opt out by notifying the Photographer in writing. Where a session is commissioned by an organization, the organization confirms that participating individuals have consented to be photographed for the purposes described in these terms.

13. Model Releases

A separate signed model release is required where delivered images will be used in paid advertising, or where identifiable third parties appear in commissioned images. Any individual under 18 requires a release signed by a parent or legal guardian.

14. Working Conditions

The Client agrees to provide a safe working environment and reasonable access to the shooting location. The Photographer may end a session without refund where conditions are unsafe, unlawful, or where any person present behaves abusively toward the Photographer or others.

15. Confidentiality

Where the Photographer is given access to non-public business information, facilities, or personnel in the course of an assignment, that information is treated as confidential and is not disclosed or used outside the assignment.

16. Limitation of Liability

The Photographer's liability for any claim relating to the services is limited to the total amount paid by the Client for that assignment. The Photographer is not liable for indirect or consequential losses, or for circumstances beyond reasonable control — including equipment failure, data loss, weather, illness, venue restrictions, or the acts of third parties.

17. Force Majeure

Neither party is liable for failure to perform due to events beyond reasonable control. Where the Photographer cannot attend due to illness, emergency, or equipment failure, the Photographer will make reasonable efforts to arrange a qualified replacement or reschedule; if neither is possible, the Client's liability is limited to a refund of amounts paid.

18. Credit

Photo credit to "DeJean Brown Photography" is appreciated where practical but is not required, unless otherwise agreed in writing.

19. Governing Law

These terms are governed by the laws of the State of California. Any dispute is subject to the jurisdiction of the courts of San Diego County, California. Both parties agree to attempt good-faith resolution directly before pursuing formal action.

20. Changes to These Terms

These Terms & Conditions may be updated from time to time. Each version is dated. The version in effect on the date of your invoice governs your booking. Prior versions are available on request.


Part Two — Service-Specific Terms

A. Headshots

What's included. A photographic session of the length stated on the invoice, direction and coaching throughout, an online proof gallery, and the number of retouched images specified on the invoice, delivered with Standard Polishing.

Additional images. Images beyond the number included may be purchased from the proof gallery at the current per-image rate. Additional images are retouched and delivered on the same timeline.

Wardrobe and appearance. The Client is responsible for wardrobe, grooming, and any hair or makeup services. The Photographer will advise on wardrobe in advance on request.

License. Delivered images are licensed to the individual photographed for personal and professional use — including LinkedIn and other profiles, resumes, business cards, email signatures, personal websites, press and speaking bios, and acting or casting submissions.

Not included: resale or sublicensing to unrelated third parties, paid advertising placements, and use of unedited proof files.


B. Personal Branding

What's included. A session of the length stated on the invoice, covering the locations, looks, and scenarios agreed in advance; an online proof gallery; and the number of retouched images specified on the invoice.

Pre-production. Personal branding sessions include a planning conversation covering shot direction, locations, wardrobe, and intended use. Locations requiring permits, fees, or property permission are the Client's responsibility to secure unless otherwise agreed; associated costs are billed per Part One, Section 4.

Third parties in frame. Where staff, clients, or other individuals appear in commissioned images, the Client is responsible for obtaining their consent and any required releases.

License. Delivered images are licensed to the Client for professional and promotional use across their own owned and organic channels — including their website, social media, email marketing, printed collateral, press and media submissions, presentations, and profile listings.

Not included: resale or sublicensing to unrelated third parties, and use in paid advertising placements. Paid-advertising use is available as a separate licensing add-on.


C. Corporate & Team Sessions

Applies to sessions commissioned by a company, brokerage, firm, or association for its staff, agents, or members.

Scheduling and headcount. The Client provides a participant roster and confirmed schedule in advance. Sessions are run on a fixed time-slot basis. A minimum headcount or minimum booking block may apply as stated on the invoice, and is billed whether or not it is filled.

On-site requirements. The Client provides a suitable shooting space with adequate room for lighting, reasonable load-in access, and electrical power. Setup and breakdown time is included in the booked block only where the invoice states so.

No-shows. A participant who misses their assigned slot forfeits it. Re-booking is subject to availability and may be billed separately.

Who pays for what. Where the organization sponsors the session, the invoice specifies what the sponsorship covers — typically the session fee and one retouched image per participant. Any additional images, and any extensive retouching, are the responsibility of the individual participant and are billed to that participant directly, unless the invoice states that the organization is covering them.

Consistency. Where an organization requires a consistent look across its roster, that specification is agreed in advance and applied throughout. Requests to re-edit an already-delivered set to a new specification are quoted separately.

License. Delivered images are licensed to the commissioning organization for use on its website, agent or staff roster, internal materials, press releases, and organic marketing — and to the individual photographed for their own professional profiles and materials.

Not included: resale or sublicensing to unrelated third parties, use in paid advertising placements, and continued use by the organization of an individual's image more than 12 months after that individual leaves the organization.


D. Events

Applies to conferences, corporate functions, ceremonies, community events, and similar coverage.

Coverage. Event coverage is billed hourly with a minimum booking block as stated on the invoice. Coverage begins at the scheduled start time, not at the Photographer's arrival. Time beyond the booked block is billed in full-hour increments at the stated overtime rate, subject to the Photographer's availability.

Cancellation schedule. Because event bookings hold a date against other work, the following applies once a booking is confirmed:

Where a flat cancellation fee is stated on the invoice or quote for a specific assignment, that figure applies instead of the schedule above.

Editing scope. Event images receive color, exposure, and basic correction across the delivered set. Per-image Standard Polishing and extensive retouching are not included in event coverage and are available as add-ons.

Delivery. Event galleries are delivered within 10–14 business days of the event unless otherwise stated. The Photographer selects and delivers the images that meet professional standards; the full unculled take is not delivered.

Attendees and consent. The Client is responsible for notifying attendees that photography is taking place and for obtaining any consents or releases required by the venue, the organization, or applicable law. Where minors are present, obtaining guardian consent is the Client's responsibility. The Photographer will honor a reasonable request from any attendee not to be photographed.

Venue. The Client is responsible for securing venue permission, credentials, and any required permits, and for advising the Photographer of restrictions on flash, movement, or access in advance.

License. Delivered images are licensed to the commissioning Client for promotional, editorial, and internal use across their own channels — including their website, social media, email, press releases, printed collateral, and event recaps.

Not included: resale or sublicensing to unrelated third parties, including vendors, sponsors, and attendees; and use in paid advertising placements. Sponsor and vendor licensing is available as a separate add-on.


Current Rates

Rates below are current as of the effective date above and may change. The rates stated on your invoice govern your booking.

  • Additional retouched image (beyond those included) — $85.00 each
  • Extensive retouching — $25.00 per hour, billed in 15-minute increments
  • Event coverage — $225.00 per hour, 3-hour minimum
